1. Agreement to These Terms
These Terms of Service (“Terms”) constitute a legally binding agreement between you (“you” or “Customer”) and Levanto Labs, Inc.(“Levanto,” “we,” “us,” or “our”) governing your access to and use of Sage, our closed-ended decision / inference API, the related customer dashboard, documentation, marketing website, and any related services we make available (collectively, the “Services”).
By creating an account, accessing the Services, or using Sage, you agree to these Terms. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have authority to bind that entity, and “you” refers to that entity. If you do not agree, do not use the Services.
Our Privacy Policy describes how we process personal data and is incorporated by reference.
2. Eligibility
You must be at least eighteen (18) years of age and have the legal capacity to enter into a binding contract to use the Services. The Services are not intended for use by individuals under 18.
3. Scope of the Services
These Terms apply to Sage inference and the Services that support it (account authentication, billing, usage metering, customer dashboard, and documentation). Other Levanto products or features, if any, that are not part of Sage are outside the scope of these Terms until separately described.
We may modify, suspend, or discontinue features of the Services from time to time. Where a change materially reduces core Sage inference functionality you rely on, we will use reasonable efforts to provide notice.
4. Accounts and API Credentials
You may need an account to access certain Services. You agree to provide accurate registration information and to keep it up to date. You are responsible for maintaining the confidentiality of your account credentials and API keys, and for all activity that occurs under your account or API keys, whether or not authorized by you, except to the extent caused by our breach of these Terms.
You must promptly notify us at team@levanto.ai of any suspected unauthorized access to your account or API keys. We may suspend credentials that we reasonably believe have been compromised or misused.
5. License to Use the Services
Subject to these Terms, Levanto grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Services solely for your internal business or personal purposes in accordance with our documentation and these Terms.
Except as expressly permitted, you may not copy, modify, distribute, sell, lease, or create derivative works of the Services, or reverse engineer, decompile, or attempt to extract source code, model weights, or underlying components of Sage, except to the extent such restriction is prohibited by applicable law.
6. Intellectual Property; Inputs and Outputs
Levanto IP. Levanto and its licensors own all right, title, and interest in and to the Services, Sage (including models, software, documentation, and branding), and all related intellectual property. No rights are granted except as expressly set forth in these Terms.
Customer content.As between you and Levanto, you retain ownership of the content, questions, and other materials you submit to Sage (“Inputs”) and, subject to applicable law and third-party rights, the decisions and other results returned by Sage for those Inputs (“Outputs”). You grant Levanto a limited license to process Inputs and generate Outputs solely to provide and operate the Services as described in these Terms and the Privacy Policy (including transient processing for inference and limited diagnostic logging).
You represent that you have all rights necessary to submit Inputs and that your use of Inputs and Outputs will not infringe or violate any third-party rights or applicable law.
7. Nature of AI Outputs; Your Responsibility
Sage generates probabilistic, machine-learned Outputs. Outputs may be incorrect, incomplete, biased, or unsuitable for your use case. You are solely responsible for evaluating Outputs and for any decisions, actions, or omissions based on them, including in production systems, agentic workflows, and high-stakes contexts (for example safety, compliance, financial, legal, medical, or employment decisions).
The Services do not constitute legal, medical, financial, or other professional advice. You must implement appropriate human oversight, testing, and safeguards for your application.
Because ordinary Sage inference Inputs and Outputs are not retained by Levanto (zero data retention for inference, as described in the Privacy Policy), you are responsible for retaining any logs or records you need for your own compliance, auditing, or debugging.
8. Acceptable Use
You will not, and will not permit others to, use the Services to:
- violate any applicable law, regulation, or third-party right, or encourage or enable others to do so;
- engage in, promote, or facilitate child sexual exploitation or abuse, or any content involving the sexual exploitation of minors;
- develop, produce, or disseminate biological, chemical, radiological, or nuclear weapons, or other weapons intended to cause severe harm;
- engage in fraud, scams, identity theft, phishing, or other deceptive practices;
- harass, threaten, stalk, or incite violence against any person or group;
- generate or disseminate malware, ransomware, or other harmful code, or attempt to gain unauthorized access to systems, networks, or data;
- probe, scan, or test the vulnerability of the Services, or circumvent, disable, or interfere with security or rate-limiting features, except with our prior written consent in a coordinated security-research engagement;
- scrape, crawl, or systematically harvest the Services or documentation outside ordinary API use documented by us;
- reverse engineer, extract, distill, or attempt to reconstruct Sage model weights, training data, or proprietary algorithms, or use Outputs to train, fine-tune, or improve a competing foundation or decision model;
- resell, sublicense, or provide the Services as a substantially similar competing inference API to third parties without our prior written consent;
- misrepresent Outputs as human-generated where disclosure is required by law, or remove proprietary notices from the Services; or
- use the Services in a manner that imposes unreasonable load, disrupts other customers, or otherwise abuses the platform.
We may investigate suspected violations and suspend or terminate access as described in Section 13.
9. Fees, Credits, and Taxes
Access to Sage may be offered on a prepaid credit or pay-as-you-go basis as described on our pricing pages or in your account. Usage is metered according to our published rates (for example input tokens and optional grounding searches). Output tokens for Sage decisions are currently not charged, but rates and packaging may change as described below.
Non-refundable credits. Prepaid credits and signup credits are non-refundable, including upon account closure, unused balances, or dissatisfaction with Outputs, except where required by applicable law or expressly agreed by us in writing.
Price changes. We may change fees or credit pricing by providing at least one (1) day’s prior notice by email to the address associated with your account. Changes apply to usage occurring after the effective time stated in the notice. Continued use of the Services after the effective time constitutes acceptance of the new pricing.
You are responsible for applicable taxes, duties, and similar governmental charges, excluding taxes based on Levanto’s net income. Payment processing may be handled by Stripe or another processor; their terms may also apply to payment transactions.
10. Service Level; Support
The Services are provided on a best-effort basis. We do not currently offer a service-level agreement (SLA), uptime commitment, latency guarantee, or dedicated support commitment. We may experience downtime, errors, degraded performance, or maintenance windows without prior notice.
11. Third-Party Services
The Services may interoperate with third-party services (for example Google OAuth for sign-in, Stripe for payments, Brave for optional web-search grounding, AWS and Vercel for infrastructure, and Mintlify for documentation). Your use of those services may be subject to their own terms and privacy policies. We are not responsible for third-party services we do not control.
12. Privacy and Data Retention
Our processing of personal data is described in the Privacy Policy. Without limiting that Policy: ordinary Sage inference Inputs and Outputs are subject to zero data retention; billing and usage records (which do not include prompt or result content) may be retained as described there; and limited fail/slow diagnostic logs may be retained for a short period.
We do not use customer Sage Inputs or Outputs to train or fine-tune models.
13. Suspension and Termination
You may stop using the Services at any time. We may suspend or terminate your access immediately if we reasonably believe you have breached these Terms, pose a security or legal risk, fail to pay amounts due, or if required by law.
Credits during suspension. If we suspend your account or API access pending investigation or clarification of a suspected violation, payment issue, or security concern, any remaining prepaid credits will be suspended (frozen) and unavailable for use until the matter is clarified or resolved. Suspended credits are not refundable solely by reason of suspension. If we determine that no material breach occurred, we will reinstate access and unfreeze remaining credits. If we terminate for your material breach, unused credits are forfeited except where required otherwise by law or we agree otherwise in writing.
Upon termination, your license to use the Services ends. Sections that by their nature should survive (including intellectual property, disclaimers, limitations of liability, indemnity, and governing law) will survive.
14. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES OR OUTPUTS WILL BE UNINTERRUPTED, ERROR-FREE, ACCURATE, OR SECURE.
15. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, LEVANTO AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO THE SERVICES OR THESE TERMS, WHETHER BASED IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR OTHERWISE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, LEVANTO’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE AMOUNTS YOU PAID TO LEVANTO FOR THE SERVICES IN THE TWELVE (12) MONTHSPRECEDING THE EVENT GIVING RISE TO LIABILITY (OR, IF GREATER, THE FACE VALUE OF PREPAID CREDITS YOU PURCHASED AND CONSUMED IN THAT PERIOD). IF YOU HAVE NOT PAID ANY AMOUNTS, LEVANTO’S AGGREGATE LIABILITY WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US $100).
Some jurisdictions do not allow certain limitations; in those cases, our liability is limited to the fullest extent permitted by law. Nothing in these Terms excludes liability that cannot be excluded under applicable law (for example liability for fraud or willful misconduct where such exclusion is prohibited).
16. Indemnification
You will defend, indemnify, and hold harmless Levanto and its affiliates, officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your Inputs or your use of Outputs; (b) your use of the Services in violation of these Terms or applicable law; (c) your applications, products, or services that incorporate the Services; or (d) your breach of these Terms.
17. Informal Dispute Resolution; Governing Law
Informal resolution first. Before filing a formal claim, you agree to try to resolve the dispute informally by emailing team@levanto.ai with a brief description of the dispute and your contact information. We will attempt in good faith to resolve the matter. If the dispute is not resolved within thirty (30) days after we receive your notice, either party may pursue formal proceedings.
Governing law and venue. These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles. Subject to the informal-resolution requirement above, the state and federal courts located in Delaware will have exclusive jurisdiction over disputes arising out of or relating to these Terms or the Services, and you consent to personal jurisdiction there.
18. Changes to These Terms
We may update these Terms from time to time. The “Effective date” at the top of this page will be revised when changes take effect. Material changes may be communicated by posting on this page or by email. Continued use of the Services after an update constitutes acceptance of the revised Terms to the extent permitted by law. If you do not agree, you must stop using the Services.
19. Miscellaneous
These Terms, together with the Privacy Policy and any order or plan-specific terms we expressly agree with you in writing, constitute the entire agreement between you and Levanto regarding the Services and supersede prior or contemporaneous agreements on the subject. If any provision is held unenforceable, the remaining provisions remain in effect. You may not assign these Terms without our prior written consent; we may assign them in connection with a merger, acquisition, or sale of assets. Our failure to enforce a provision is not a waiver. Notices to you may be sent to the email associated with your account. Notices to us should be sent to team@levanto.ai.
